Why should I have a Corporation Sole?
As Sr. Chaplain of Impact Ministries International, a corporation sole; I would like to address the reason why I think every individual, every family and every church should be utilizing this type of organizational structure. If you are a Christian and you believe what the Bible says. You will accept the fact that God has called all of us: I Peter 2:9 ".. a chosen generation, a royal priesthood, a holy nation, a peculiar people; that ye should show forth the praises of Him who hath called you out of darkness into marvelous light. " - KJV
Understanding that a "Corporation Sole" is established for ecclesiastical purposes, we have a great commission that lay before every Christian person. In the Holy Bible we can read in Mark 16:15 & 16. Go ye into all the world and preach the gospel to every creature. He that believeth and is baptized shall be saved; but he that believeth not shall be damned. This commission comes from the High Priest Himself; The chief corner stone and head over all the church, Jesus The anointed one. We can see that every believer has been given a call to evangelism from the King of kings and Lord of lords. In order to be most effective in this call to evangelism, it will take time, monies and resources to enable us to go at the Lord's bidding. Living in a day where more that 40 percent of our livelihood is spent in some form of taxation, it is becoming increasingly difficult to support such global evangelistic efforts. Corporation Sole provides for the Christian the means of creating, receiving and generating wealth all in a tax free environment enabling the presiding Christian Officer or His successors to freely spend this wealth as he sees is beneficial to his office. The Christian officer solely manages all affairs and business activities of The Corporation Sole. There is no one to tell you how to conduct your affairs. No Boards, No taxing authorities, not even IRS. There are specific reasons for this, (1) Corporation Sole is exactly that. One person incorporated. You don't have to have a board of three like an aggregate corporation. No need for a president, secretary, or treasurer. This is the incorporation of a specific office within the ecclesia, the true church. (2) As a matter of jurisdiction, a corporation sole does not and cannot be regulated by statutory law beyond the parameters as set forth within the statute codes of the state you are filing in, but rather is controlled and directed by its own Articles under the guidance of the Most High God. In essence the Corporation Sole declares its own law to be that of the Holy Bible as the Revealed Divine Law. From this alone does it establish and accommodate the principles and duties carried out with in ones presiding office. (3) When it comes to taxation, churches, their integrated axillaries, and conventions or associations of churches are immune from taxation. Here in the united States of America the church has always been immune form taxation and regulation, unless the church has chosen to comply and receive 501(c)(3) not for profit status from the Internal Revenue Service. If you have unwittingly made this mistake, then you have taken your church organization from the place of tax immunity and replaced it with tax exemption. It does not sound like a big difference to say "Immune" or Exempt, but "exempt" requires you to explicitly follow IRS's ever changing laws in contrast with "immune" from taxation, which means you are operating in a completely different jurisdiction with no tax consequences. Okay! I think I have discussed enough as to why an individual should have a corporation sole. Now, how about the family. Why should every family have a corporation sole? We know from the scriptures that we Christians are all part of the family of God. Eph 3:15-21 " Of whom the whole family in heaven and earth is named, 16 That he would grant you, according to the riches of his glory, to be strengthened with might by his Spirit in the inner man 17 That Christ may dwell in your hearts by faith; that ye, being rooted and grounded in love, 18 May be able to comprehend with all saints what is the breadth, and length, and depth, and height; 19 And to know the love of Christ, which passeth knowledge, that ye might be filled with all the fullness of God. 20 Now unto him that is able to do exceeding abundantly above all that we ask or think, according to the power that worketh in us, 21 Unto him be glory in the church by Christ Jesus throughout all ages, world without end. Amen." - KJV
We live in a day when finances and properties are vastly diminished during times of inheritable passage. Even the best system structures have left gaping holes for contestments, probate court, and inheritance taxes! And if you are one who has been caught with the untimely passing of a loved one; not having prepared even a will or trust, then you may find your self loosing most or all the inheritance you could have had. A Corporation Sole solves this problem. Instead of you building a dynasty for yourself, why not build a dynasty for the family priesthood that will last and last and last, for it is an office of perpetuity. Giving up your right to own something and conveying that ownership directly to a Corporation Sole, can save you and your successive loved ones literally tens of thousands of dollars over the course of 2 -3 generations. Wealth can stay in your priestly family line for generations to come. How does this happen? Well, if you are in the office of presiding "overseer" in a corporation sole, and you unexpectedly or suddenly pass away, your named successor would take over the duties in the office you once presided in. The work of the ministry can continue undaunted. Okay, what happens to all of the assets and properties and bank accounts in the name of the "corporation sole". Absolutely nothing. There is nothing to change whatsoever. Everything remains the same in the corporation sole with the exception of filing for a name change for the new presiding officer. Life goes on without missing a single heartbeat. There are no accounts to change, no special filings or taxes required because the office is forever a perpetual office. The officer may die, but the office remains alive forever. In addition to this pleasant scenario, you can grow this empire in a tax free environment thus giving you more resources to be about the Kings business of gospel evangelism. Here are a few verses of scripture on this. Deut 8:18 "But thou shalt remember the LORD thy God: for it is he that giveth thee power to get wealth, that he may establish his covenant which he sware unto thy fathers, as it is this day" - KJV Prov 19:14 "House and riches are the inheritance of fathers and a prudent wife is from the LORD" - KJV Prov 13:22 "A good man leaveth an inheritance to his children's children: and the wealth of the sinner is laid up for the just." - KJV Matt 6:19-21 "Lay not up for yourselves treasures upon earth, where moth and rust doth corrupt, and where thieves break through and steal: 20 But lay up for yourselves treasures in heaven, where neither moth nor rust doth corrupt, and where thieves do not break through nor steal: 21 For where your treasure is, there will your heart be also." - KJV The third group I would like to address is that of the Ecclesia "called out ones" known today as the church or body of Christ. Why is corporation sole so important for the church. The benefits are to numerous to name in short detail, however I will include some of the more poignant thoughts on this matter. A Corporation Sole is an organization recognized by the several states as the Lord Most High having the right to establish his kingdom in this earth. The several states such as Nevada, Washington, California, Arizona, Utah, New York and others, has for along time now recognized the inherent rights of the church to be its own self regulating body under the jurisdiction of the Most High God. This is good for the church because when the church incorporates it respective office it files its Articles within the state where of it was created or other favorable jurisdiction. The state does not create the corporation sole, but only recognizes it as being a valid corporation and places it within their data base and provides a filing number for recognition purposes. The state will even supply at the resident agent's request, "a certificate of good standing". Okay, there you have it in a nutshell. A corporation sole is not governed by the statutory jurisdiction beyond the parameters as set forth by the state in relationship the proper filing and preparation protocols and resident agent office as necessary either on a state level or a federal level. The corporation sole for the most part functions in the jurisdiction of Ecclesiastical or Canon law. What does that mean for the church? It means that there can now be true separation from church and state. The state stays out of our affairs, but we infiltrate theirs. Matt 11:12 "And from the days of John the Baptist until now the kingdom of heaven suffereth violence, and the violent take it by force."- KJV Did you know that a carefully drafted Articles for corporation sole will allow you do things that a 501(c)(3) corporations cannot do. Take a look at one state's law's that tell what a corporation sole may do," To acquire and possess, by donation, gift, bequest, devise or purchase, and to hold and maintain property, real, personal and mixed, and to grant, sell, convey, rent or otherwise dispose of the same as may be necessary to carry on or promote the objects of the corporation. To borrow money and to give promissory notes or other written obligation therefore, and to secure the payment thereof by mortgage or other lien, upon real or personal property. To buy, sell, lease, mortgage and in every way deal in real and personal property in the same manner that a natural person may, and without the order of any court. To receive bequests and devises for its own use or upon trusts to the same extent as natural persons may. To contract and be contracted with, in the same manner as a natural person." There are many things to discuss about properly using these structures, but to know that there are never, any filings required for IRS purposes or for the states purposes when used correctly. Understand that a properly formed Corporation Sole as a qualified organization is declared by section 508 of the IRC as recognized by IRS to receive a mandatory exception and is exempt from filing a return. The EIN number is used to lawfully open a bank account for your ministry in compliance with system practices and laws among the banking industry. We believe that Corporation Sole is the preferred structure among the Ecclesia [church]. I hope that I have helped to open your understanding to this Christian necessity.
