Brother Andrew will be traveling to Elaine, Arkansas to join with the Phil Brumly Band during their worship conference.  We will be in Elaine, from July 9th - 14th.  Brother Andrew will be preaching both Sunday Morning and Evening at Elaine Church Of God on July 13.

Nancy DeDominicis and Angie Peo will hold a women's conference at Elaine Church of God with 5 other churches being represented from the area.  This will be a time of all around ministry from the IMI Ministry team within this local church.

To fully understand what God accomplished in the spirit during Daryl Thies's recent visit to the Republic of Georgia, first, you must know what the Lord spoke to my wife and I when we first went to this country more than 11 years ago.   The Lord said, " Teach the people there how to enjoy their freedom to worship freely that they presently enjoy, but tell them persecution is coming again. He then said "then teach them how to quickly go underground again."

Little did I know at that time about home-based churches.   Nor did realize that the New Testament church started in a home.   Act 2:46   "And they, continuing daily with one accord in the temple and breaking bread from house to house, ate their meat with gladness and singleness of heart." (True communion and fellowship, in the beginning, was only found in the home.)    (Also, the archeological fact is this:   no one has discovered a Christian Church building that was built before the year 250 ad that was built by the beginning Church.)

God has planted a vision deep within me that I brought over with me.   God is about to visit His church with a wave of revival that the world has not seen since the year 175 AD!   God is sending a revival that will restore the original foundation of the Church and restore the authority and full function of the 5-fold ministry gifts.

Although we have planted home churches from the very beginning in Georgia, God has given our workers there, new purpose and function for them. God supernaturally directing five ministries to our web site from five different countries during my visit over on the field of mission further confirmed this vision.   (This has never happened since we developed our web site nearly two years ago.)   The only ones that have visited our site are ones that I have directed them to.   Each one of these ministries have requested that their ministry be placed under God's apostolic mantle that He has placed upon me.  

With meetings that I had nearly every day, God planted this new vision and direction in the hearts of the church elders over there. Never will the LHI churches ever be the same there.    Since the beginning of May, over twenty-five churches have been added to our ministry's covering.

The following are the testimonies of our worker in our Georgian headquarters the first weekend after I came back: "Thank you for everything. I have never been so encouraged, I never been so anointed, and as Lord spoke through me yesterday and so I speak today, I am not going to build my own empire, I am not going to build my own tower which will be named by my name, No! and thousand times NO!!!!!!!!  if I do something I do for His name and for His and only for His GLORY.   Yesterday I met at Aza's house.   They are tired with deadness of the church. They are hungry for more love and spirituality. It was impossible to deliver whole vision because you were speaking to me about that during 20 days.   What we got it is they want to continue to co-work with us and in the next week I will go there again and teach all of them how make disciples of   others and how we need in the modern church to open our homes doors to have meetings everywhere. In prayer there was so great presence of the Holy Spirit that all of us were weeping crying and laughing. But this we made quietly! People saw visions and Lord was speaking so clearly that every one of us got a special word and direction from Him. .  I believe where we would be together we will continue in the same spirit of Holiness.  It does not matter we are in America or in Georgia; we are in Nigeria or in Russia. Lord with His Spirit will operate through us and will make his great acts.

Do you know what surprises people in LHI vision.   When I say to them that they do not need to leave their denomination or their own church.   And this is powerful, that our ministry is over men's movement, over men's division, over denominations and over conceptions. God bless you brother for fresh bread, which you brought one month ago in my country. There is in spiritual realm, beginning of revolution and I want to declare those words, which Paul said to Timothy.    " That your prosperity be known to every one."   I want say that our prosperity will be known to everyone "IF" we stay faithful to that God given heavenly vision.   Stay with me in Spirit, because I am with you. Pray and glorify His Holy name because He is worthy to receive glory and honor.

 I have delivered to them the vision that I got from you. Dear Daryl I want to tell to you that there will come from different churches people, but I must receive them. I was ministering them in the word of your vision when they came in the church. They opened their heart and told me that they want to see this kind church and they will become our co-ministers in this vision. You thought that in Kutaisi no one will wish to work but God by His miraculous power gathers so many people I am SURPRISED Daryl!   I do not speak alone; God is with YOU and me also. Pray for me and stay with me in the combat fight against the forces of Satan.

I am going to spend quit sometime reading it and re-reading it. Already I feel so blessed by all this, I believe its great time for visitation and am part of them being visited by the Lord.  I will have the books translated to Kiswahili produce copies, of them.

When it comes to working with ministries that have already been established for some time as a 501(c)(3) organization, there seems to be a quandary of how to properly switch to becoming a 508 organization.  When our IMI office deals with these types of situations,  we like to identify what the exact status of the ministry is as far as church government, councils, employee status and other important factors.  Usually we will be discussing these details directly with the Pastor or senior associate acting on behalf of the ministry.  This article will deal primarily with some of the key points that I have listed above.

Most importantly we must answer the question, " Why any 501(c)(3) organization, church or ministry would want to become a 508 and utilize a corporation sole as its founding legal framework"? The answer to this question seems to be a no brainer when you consider the facts.  All 501(c)(3) organizations must function under the Internal Revenue Code protocols.  This is a problem from a ministry and business standpoint because it places all authority of how the ministry operates under the operating guidelines, mandates and scrutiny of Internal Revenue Service rather than the mandates as set forth in the Holy Bible.  In order for the 501(c)(3) organization to maintain its exempt status it must voluntarily comply with every section of the laws and codes that govern 501(c)(3) status.  And don't forget, these laws are subject to change from year to year.  These reigns will only be pulled tighter and tighter in the days to come. 

Secondly, the vast majority of 501(c)(3) organizations today are legally formed as a non-profit [aggregate] corporation; having a president, secretary and treasurer.  Such entities are created by the state formed in, and thus automatically regulated by the statutory law, of which both the respective state and the IRC operates under. In this case the ministry is already susceptible to statutorily being interfered with.  I don't think that ministers and church leaders have adequately taken the time to consider the profound legal direction that they have charted for their ministries.  At best, some feel that as long as the statutory law does not interfere with the  closely held beliefs and objectives of the ministry, then everything is fine. Or is it? There are those who say that when it becomes an issue between abiding by statutory laws or that of the Holy Bible, then by all means we will go with the Word of God, even if that means we are breaking the statutory law.  What a mess, huh? Some ministries have actually found themselves tangled in that web. I speak from personal experience. We litigated and won this battle and settled out of court, but it nearly destroyed our ministry after 4 years of tremendous battling.  And for all of you pastors and ministers out there, there is a better way! It is called a corporation sole and is quite honestly the absolute best legal formation for the church.

For churches that are governed by a church board or council, it is not necessarily problematic to change the legal framework of the church.  However, it is usually necessary to educate your board as to the benefits of a corporation sole.  Our office is happy to provide that service as an outreach to your church. This can be done by a teleconference call, or you may choose at your cost to fly us to your location for a private meeting with your council or board. We do this on a love offering basis.  

When a 501(c)(3) organization is considering to utilize a corporation sole for ministry there are a couple of things that will happen. First we will create the corporation sole for the ministry.  The name can be very similar to the name of the 501(c)(3) org. or it could be completely different. In any case the corporation sole will be a separate and distinct entity form the 501(c)(3) org. Because of the uniqueness of corporation sole that only requires an office of one, when we file with the state of Nevada, it is not considered to be created by the state, but only recognized by the state to have the same rights and privileges as any other aggregate corporation.  The corporation sole is considered to be its own body politic.  That means that the corporation sole is self governing and self regulating unlike aggregate corporations that are creatures of the state and regulated by statutory law.. I have listed the law for your review and highlighted the important part.

After the corporation sole is created for your ministry you will begin to strip out all of the assets of the 501(c)(3) organization and donate them to the corporation sole.  This may take some time, but is achievable.  All properties can be quick claimed over to the corporation sole. [If there is a mortgage on the property, there needs to be some special consideration before quick claiming the property to the corporation sole.] New bank accounts can be opened up in the name of the corporation sole. All monetary assets can be donated to the corporation sole.  Once all of this is done, you can operate your ministry exclusively from the corporation sole without any government interference. 

Now, to answer the question in respect to employer/employee status. If your organization has any employees, then you will most likely want to continue to use your 501(c)(3) organization for the purpose of taking care of your employees.  You can do all of your other activities through the corporation sole.  The reason why we don't recommend that you have employees in the corporation sole, is because you will subject your corporation sole to payroll deductions and filings with IRS. 

There is another alternative for those who would like to remove there employee status and just use corporation sole. It would involve setting up a corporation sole for each staff position within the church.  This can be lawfully done.

For example:

Grace Tabernacle - office of the General Overseer, office of the worship director, office of maintenance, office of pastoral care, office of youth pastor. 
Notice that I have listed 5 different offices.  Each office would operate out of its own corporation sole called office of the General Overseer of Grace Tabernacle , Office of Worship Director of Grace Tabernacle, etc , etc . etc .
Each office would receive its funding from the office of General Overseer, and would be responsible for administrating the affairs of their office.  

Example:

The office of Worship Director of Grace Tabernacle would receive $3000 a month from the office of the General Overseer to administrate the affairs of his/her office.  These funds would be responsible for meeting all of the needs within the worship directors office, including providing for his/her personal needs within his/her office.  These funds would be used to cover the monthly operating budget.  In this scenario, because of the religious order component that is meticulously drafted within every corporation sole that IMI forms, there is no need to 1099 or even do payroll deductions because this entity [office of Worship Director of Grace Tabernacle] is able to lawfully provide for the needs of its presiding officer [Worship Director].  As an  integrated auxiliary of the church it has its own bank account and EIN # separate and distinct form the [Office of General Overseer of Grace Tabernacle]  Impact Ministries International provides the IRS codes and statutes that prove this fact as it relates to all religious orders that require its members to live within the ministry. 

By administrating your ministry, church or school, through a corporation sole, or multiple corporation soles, you diversify liabilities, have asset protection, and totally keep the church unencumbered with ever changing statutory laws.  Your ministry can truly function under the framework of the Holy Bible and Canon Law. Additionally, you remove the need to have Employer/Employee relationships which is always governed by statutory regulations.  In all of this, we create true separation between church and state.  They stay out of our back yard, while we infiltrate theirs with the Gospel of Jesus Christ.
